About the role

Meta is seeking a Corporate Governance Manager, APAC, in Gurgaon, India, in its Legal team. The manager will support legal and corporate secretarial operations across the Asia-Pacific region and report to the Director, Associate General Counsel, Corporate Legal. The role gives expert company law and governance advice to a large and diverse portfolio of Meta subsidiaries across Asia, with a primary focus on India. It suits a candidate with experience of overseeing legal entity management operations in a large US multinational environment.

Responsibilities

  • Manage and oversee company law, company secretarial and governance operations for Meta's India and wider APAC subsidiaries, including advice on capital contributions, share issuance, RBI and FEMA matters, new entity incorporation, licence expansion, SEZ / STP approvals, shareholder, director and officer changes, and the closure of dormant subsidiaries. The work is done with professional services advisors in India and globally and within the group's affiliate governance framework.
  • Act as the in-country Company Secretary for certain Indian entities that require a qualified Indian Company Secretary, and as primary owner of the India board calendar, statutory compliance and event-driven filings, becoming the day-to-day point of contact for Indian and APAC escalations.
  • Conduct board, shareholder and committee meetings, including review of agendas, board and shareholder resolutions and associated documents, and make sure processes are in place to keep company records up to date.
  • Act as the point of escalation within the India and APAC portfolio on annual compliance, director and officer changes, banking resolutions, delegations of authority and powers of attorney.
  • Maintain oversight of compliance status across the legal entity portfolio in the region, so that statutory corporate documents, licences, registrations and corporate records are properly maintained and subsidiaries meet their statutory filing obligations.
  • Advise and problem solve on complex company secretarial matters across the portfolio, flagging risks and opportunities to International Corporate Legal leadership.
  • Support ad-hoc team-wide and global projects.

Minimum qualifications

  • A law degree or equivalent certificate that permits the practice of law, and the appropriate licence and authorisation to practise law for the company in the work location. Unless local law prohibits it, an attorney must hold a current practising certificate or the local equivalent bar registration or licence.
  • Bachelor of Laws (LL.B.) degree with demonstrated knowledge of corporate law, through experience in a global professional services firm and/or the corporate legal or company secretary's office of a large multinational.
  • Registration as a Member of the Institute of Company Secretaries of India. The successful candidate will be appointed as Company Secretary of one or more of Meta's Indian subsidiaries.

Preferred qualifications

  • 8+ years of experience in corporate governance, company secretarial or corporate legal operations, ideally leading a corporate secretarial function for a region, business unit or equivalent.
  • Hands-on experience managing legal entities across multiple jurisdictions.
  • Experience supporting corporate restructurings, mergers or cross-border transactions involving APAC entities.
  • Familiarity with entity management software platforms used to track corporate records, compliance calendars and statutory obligations.
  • Experience adhering to and implementing responsible, ethical AI practices, such as risk assessment, bias mitigation, and quality and accuracy reviews.
  • Demonstrated ability to integrate AI tools to optimise or redesign workflows and drive measurable impact, such as efficiency gains and quality improvements.
  • Demonstrated ongoing AI skill development, such as prompt and context engineering and agent orchestration, and staying current with emerging AI technologies.
