Legal Associate at Stride Ventures, Gurugram (2-3 PQE)

Stride Ventures is hiring a Legal Associate for its Gurugram office. This is an in-house role at one of India's leading venture debt firms, offering hands-on exposure to SEBI and IFSCA regulatory compliance, fund documentation, investor management, and debt and equity transactions.

You will work closely with the Head of Legal and the investment team, and will carry meaningful responsibility from day one. If you have 2-3 years of post-qualification experience and want to move into the fast-moving world of startup financing and fund law, this is a strong fit.

The position sits across three broad areas of work:

Investor management and fund documentation

• Draft, review, and manage contribution agreements, side letters, investor questionnaires, transfer and assignment documents, and related fund documentation.
• Maintain investor documentation trackers and coordinate with investor relations and operations teams during closing processes.
• Address investor-related legal queries.
• Support updates to Private Placement Memorandums (PPMs), fund rules, and constitutional documents.

Debt and equity transactions

• Draft and review debt transaction documents, including term sheets, debenture trust deeds, loan agreements, security documents, corporate guarantees, and inter-creditor agreements.
• Draft and review equity investment documents, including Share Subscription Agreements (SSAs), Shareholders' Agreements (SHAs), board resolutions, and shareholder resolutions.
• Coordinate with portfolio companies, co-investors, and external counsel during transaction execution and closing.
• Maintain transaction trackers and post-closing documentation.

General legal and corporate support

• Review and negotiate vendor contracts, NDAs, MOUs, service agreements, and technology/SaaS agreements.
• Assist with legal advisory matters and internal corporate governance requirements.
• Support data privacy compliance, including implementation of the Digital Personal Data Protection Act, 2023.
• Assist with employment documentation, HR policies, employment contracts, and ESOP-related documentation.

• LL.B./LL.M. from a recognised institution.
• 2-3 years of Post-Qualification Experience (PQE).
• Experience at a reputed law firm (Tier 1/Tier 2) and/or an in-house legal team in the financial services sector.
• Prior exposure to SEBI AIF Regulations, fund documentation, or financial sector compliance is preferred.
• Experience in drafting and reviewing debt and equity transaction documents.
• Exposure to investor management and fund subscription documentation will be an added advantage.

This is an on-site role based in Gurugram, Haryana.
