About the role

The requisition is titled Legal Counsel, Corporate & Securities on the careers portal and Corporate & Securities Attorney in the advert text. The lawyer joins Porch's Legal team and covers the full range of public-company corporate and securities work for a Nasdaq-listed issuer: SEC reporting, corporate governance and secretarial work, capital markets and financing activity, mergers and acquisitions, equity compensation, entity management and public-company policy administration.

The role reports directly to the Senior Director, Corporate & Securities, who leads the function. Porch is explicit that the successful candidate must bring meaningful and significant U.S. public company experience.

What the role involves

  • SEC reporting and public-company compliance, including preparing, reviewing and filing Forms 10-K, 10-Q and 8-K and the annual proxy statement, plus Section 16 compliance and reporting
  • Corporate governance and secretarial work, including Board and committee agendas, resolutions and minutes, and coordination of the Annual Stockholder Meeting
  • Entity formation and ongoing entity maintenance alongside the Senior Corporate Paralegal, covering foreign qualifications, state filings and internal records
  • Capital markets and financing support, including cap table management and due diligence for public-company financings and strategic transactions
  • Mergers, acquisitions and other strategic transactions, managing diligence and the signing and closing workstreams
  • Equity compensation and HR-related agreements, including administering equity awards and extending equity offerings to staff outside the U.S.
  • Cross-functional work with Finance, Accounting, Commercial, HR and Communications, including leading initiatives that require negotiation with peers and senior leadership

Who can apply

  • A Juris Doctor (J.D.), Master of Laws (LL.M.) or a substantially equivalent legal degree from a recognised institution in India. Porch expressly accepts an Indian LL.B. or comparable law degree that qualifies the holder to practise or to pursue advanced legal study
  • A minimum of 3 years of relevant experience in U.S. corporate and securities law, at a top U.S. law firm or in-house at a U.S. public company
  • Strong grounding in public-company governance and SEC reporting, corporate structures, earnings cycles, investor relations and regulatory deadlines
  • Strong drafting across securities filings, governance documents and transactional agreements
  • Working knowledge of Workiva, Diligent, SimpleLegal, Lexion, Toppan Merrill and the Microsoft Office suite
  • Demonstrated ability to handle highly confidential information, and proven experience working with U.S.-based business teams
  • Excellent written and spoken English

Location, work mode and hours

The role is based in India and is fully remote, with the requisition location recorded as IN Remote and the workplace type as Full Remote. Porch's India careers page describes the arrangement as fully-remote work anywhere in India.

The working day is 8 hours excluding breaks, split into 4 core hours overlapping the U.S. business day (7:30 pm to 11:30 pm IST) and 4 flexible hours in IST. Candidates need a quiet workspace and an internet connection of at least 30 Mbps download and 10 Mbps upload.

Pay and benefits

Porch states a pay range of ₹37,50,000 to ₹52,50,000 (3,750,000 – 5,250,000 INR) annually, and notes that actual pay reflects work experience, skillsets, job-related knowledge, internal alignment and geographic location.

Benefits listed in the advert include medical insurance, accident insurance and retiral benefits. Wellness provisions include 12 company-paid holidays, 2 flexible holidays, privilege or earned leave, casual and sick leave, paid maternity and paternity leave, and weekly wellness events.
