About the course

National Law University, Delhi, through its Centre for Regulatory Studies (CRS), has opened enrolment for a certificate course on Capital Market Transactions: IPOs, QIPs, Rights & Hybrids. The course runs under The Practice Series, a joint initiative of NLU Delhi and Mentblue, a practitioner-led legal education platform founded and run by former Tier 1 law firm lawyers.

It is a two-month, practice-oriented programme that takes participants through a capital markets transaction the way it is actually executed: from structuring the offer through diligence, the offer document, marketing, pricing and allotment, to listing and post-listing compliance. Across 17 live online sessions, partners and senior practitioners from India's leading law firms teach using the frameworks and documents they use in live mandates.

NLU Delhi approves the curriculum, provides institutional oversight, supervises assessment standards and awards the certificate. Mentblue designs the curriculum, convenes the faculty and runs the course end to end. The Course Director is Dr. Raghav Pandey, Assistant Professor at NLU Delhi and Director of the Centre for Regulatory Studies.

Who can apply

The organisers state that the eligibility bar is set by qualification and intent, not by years of experience. Participants are welcome from law, finance, accountancy and corporate strategy backgrounds:

  • Law students: those currently pursuing a 3-year LL.B., a 5-year integrated law programme, or an LL.M. at any recognised university in India or abroad.
  • Lawyers and law firm professionals: advocates and law graduates with at least an LL.B. or equivalent qualification from a recognised university, including junior associates and fresh graduates building a capital markets practice.
  • Finance and accountancy: CA, CS, CMA and CFA candidates and qualified professionals at any career stage; investment bankers and analysts are welcome.
  • Corporate and in-house: graduates with corporate, strategy or transactional experience, in-house counsel, company secretaries, merchant bankers, compliance officers and corporate development teams.

Minimum qualification: a bachelor's degree (or equivalent) from a recognised university, OR current enrolment in a recognised undergraduate or postgraduate programme.

Curriculum: 5 modules, 17 live sessions

Module 1 - Foundations & the IPO Landscape (3 sessions)

Module 2 - The Regulatory Framework (2 sessions)

  • S4: Regulatory Framework I: SEBI ICDR, Eligibility, Promoter Contribution & Lock-in
  • S5: Regulatory Framework II: Companies Act, SCRA, LODR & Continuous Disclosures

Module 3 - Diligence & Financial Information (3 sessions)

  • S6: Legal Due Diligence & Preparatory Work
  • S7: Financial Information, Restated Financials & the Auditor's Role
  • S8: Mid-Course Assignment Workshop (Assignment 1)

Module 4 - Documentation & Execution (4 sessions)

  • S9: The Offer Document: Anatomy, Risk Factors & Misstatement Liability
  • S10: Key Transaction Agreements & Drafting Essentials
  • S11: Marketing, Book-Building, Pricing, Anchor Investors & Allotment
  • S12: International Offerings: Rule 144A / Regulation S, ADRs & GDRs

Module 5 - Listing, Post-Listing & Other Instruments (5 sessions)

  • S14: Hybrid & Alternative Instruments: REITs & InvITs
  • S15: QIPs, Rights Issues, Preferential Allotment & FPOs
  • S16: Final Assignment Workshop (Assignment 2)

Two comprehensive drafting assignments are built around real Indian capital markets transactions spanning the full IPO lifecycle.

Schedule and format

Mode: Online, live. Days: Saturdays and Sundays. Time: 10:00 am IST onwards. Recordings: replay access for 6 months.

The 17 sessions run on the following dates in 2026, one session per date:

Fee and what is included

Certification

Participants receive a Certificate of Completion issued by National Law University, Delhi, conducted by the Centre for Regulatory Studies in academic collaboration with Mentblue, for the August to October 2026 cohort. The certificate is signed by the Course Director and the Course Coordinator and carries a certificate number.

Attendance requirement: a minimum of 75% attendance across the live sessions is required for certification.
