The firm is recruiting a Senior Associate for its General Corporate / PE-VC / M&A team at the Noida office. The position sits at mid-senior level and carries independent charge of transactions, with direct exposure to high-value deals and to clients, investors and other stakeholders.

The work covers general corporate advisory, private equity and venture capital transactions, mergers and acquisitions, regulatory compliance and related commercial structuring.

• Advise clients on general corporate, commercial, PE/VC and M&A transactions.
• Conduct legal research, due diligence and transaction analysis on complex corporate matters.
• Draft, review and negotiate shareholders' agreements (SHA), share subscription agreements (SSA), investment agreements, term sheets and other transaction documents.
• Prepare and review corporate documentation, including board and shareholder resolutions.
• Support PE/VC funding rounds and M&A deal structuring from initiation to closing.
• Advise on regulatory compliance and statutory filings connected with transactions.
• Handle investor-side and company-side transaction mandates independently.

• A law degree and a minimum of 5 years of post-qualification experience (PQE).
• Hands-on experience in general corporate advisory, PE/VC transactions and M&A matters.
• Prior experience of term sheet negotiations and of SSA and SHA discussions is essential.
• Ability to manage a transaction end to end without close supervision.

Applicants should bring strong legal research and drafting ability, sound analytical judgment on transaction structures, and the communication and negotiation skills needed to deal directly with clients, investors and opposing counsel.

The role is based on-site at the firm's Noida office at Urbtech Trade Centre, Sector 132, Noida 201304, Delhi NCR. It is a full-time position and is not advertised as remote or hybrid.
